Grants Programs Terms and Conditions

2. Eligibility

In order to participate in any Grants Program, when submitting information for and throughout your participation in any Grants Program,

• If you are participating in any Grants Program as an individual, then you must be of legal age in the jurisdiction in which you reside and must have the legal capacity to enter into these Terms and be bound by them;
• If you are participating in any Grants Program as an entity, then you must have the legal authority to accept these Terms on that entity’s behalf, in which case “you” (except as used in this paragraph) will mean that entity;
• You must not reside in a jurisdiction where the transfer or holding of cryptocurrency is illegal or would require a special license or authorization that you do not possess; and
• You must not be (i) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties; (ii) in contravention of any laws and regulations pertaining to anti-money laundering or terrorist financing; (iii) included on the List of Specially Designated Nationals and Blocked Persons maintained by the US Treasury Department’s Office of Foreign Assets Control (OFAC) or on any list pursuant to European Union (EU) and/or United Kingdom (UK) regulations (as the latter are extended to the Cayman Islands by statutory instrument); or (iv) operationally based or domiciled in a country or territory in which sanctions imposed by the United Nations (whether through the Security Council or otherwise), OFAC, the EU and/or the UK apply, or otherwise pursuant to sanctions imposed by the United Nations, OFAC, EU, or UK.

Further, we reserve the right to limit or refuse your eligibility to participate in any Grants Program for any reason in our sole discretion, including where your participation is prohibited by any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, common law or equity (collectively, “Applicable Laws”). If we become aware of any violation of these Terms and/or the Terms of Use, we may elect to, among other things, prohibit you from participating in any Grants Program.

By participating in any Grants Program, you represent and warrant that you meet the requirements contained in these Terms. If you do not meet the requirements contained in these Terms, you cannot participate in any Grants Program.

4. Submission Content

Any content you submit to us must be true and accurate. You acknowledge and agree that you may receive grant amounts based on this information, and that upon any material change to this information, you will inform us as soon as reasonably possible via the Unified Support Portal.

You give us a perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, sub-licensable, worldwide license to use and share any content you create or provide to us in connection with your submission to or participation in any Grants Program for any purpose, and you represent and warrant that you have secured all permissions necessary for us to do so without compensation to you or any third party.

You acknowledge that Polygon Labs may, now or in the future, be developing information internally, or receiving information from other parties, that is similar to the content you create or provide to us in connection with your submission to or participation in any Grants Program. Nothing in these Terms will prohibit Polygon Labs from developing, marketing, or supporting any concepts, systems, or techniques (or the Polygon protocols), even if such concepts, systems, or techniques are contemplated by or embodied in the content you create or provide.  

5. Privacy

By participating in any Grants Program, you acknowledge and agree that any personal information that you provide will be maintained in accordance with the Privacy Policy (or third party privacy policies as noted below), and you (a) grant to us the right to use and share any personal information you provide to us (“Personal Information”) for the purpose of administering the Grants Programs, (b) grant to us the right to use your Personal Information for publicity, promotional, marketing and advertising purposes relating to the Grants Programs, in any and all media now known or hereafter devised, without further compensation unless prohibited by applicable law, and (c) acknowledge that we may disclose your Personal Information to identified third-party collaborators and service providers in connection with Grants Programs in which you participate, in which case such Personal Information will be used by such third parties pursuant to their respective privacy policies.

7. Disclaimer

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY GRANT AMOUNTS OR SERVICES PROVIDED BY ANY OF OUR SERVICE PROVIDERS, COLLABORATORS, OR OTHER THIRD-PARTIES IN CONNECTION WITH ANY GRANTS PROGRAM. WE WILL NOT BE A PARTY TO OR IN ANY WAY RESPONSIBLE FOR MONITORING ANY ACTIVITIES BETWEEN YOU AND ANY OF OUR SERVICE PROVIDERS, COLLABORATORS OR OTHER THIRD-PARTIES. YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR ACTIVITIES WITH OTHER PERSONS OR ENTITIES WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR PARTICIPATION IN ANY GRANTS PROGRAM. FURTHER, WE MAKE NO GUARANTEES OR WARRANTIES THAT ANY PARTICULAR RESULT WILL BE OBTAINED FROM ANY GRANTS PROGRAM OR THIS AGREEMENT.
